Effective date: October 6, 2026 | Last updated: October 6, 2026 | Version: 3.8 (adds AV Prime Smart Tap subscription, cancellation, device-fee, and client-customer-payment sections — Section 2A)
This Policy is part of your Service Agreement with AV Prime Design Corp. It explains how we bill, how subscriptions renew and cancel, refunds, and how managed IT support hours work. Payments are processed securely by Stripe; we do not store full card numbers.
Scope & Precedence
This Policy applies to services provided by AV Prime Design Corp. unless a separate written agreement expressly provides otherwise. By signing an agreement, approving a proposal, electronically accepting this Policy, submitting payment, purchasing a service or subscription, or otherwise authorizing us to begin work, you agree to the applicable terms below.
If a signed Service Agreement, Statement of Work, proposal, or order form conflicts with this Policy, the more specific written agreement controls to the extent of the conflict.
Business use. Our services are offered to businesses and to individuals acting in a business or professional capacity, for business purposes — not for personal, family, or household purposes. Consumer-protection provisions that apply only to personal, family, or household transactions do not apply to business-to-business engagements, except where required by law.
Acceptance Before Payment
No payment is taken until you have reviewed and accepted the Service Agreement and this Policy. At checkout you must affirmatively accept the applicable terms and sign electronically before a payment method is requested. We record the version accepted, the name signed, and the date and time of acceptance. See Service Agreement, Section 1A.
1. Project (One-Time) Work
1.1 Billing schedule. Unless your proposal states otherwise, project work is billed: - 50% non-refundable deposit due to begin work, - 25% at the agreed project milestone, and - 25% on completion (prior to final delivery/launch).
1.1.1 Completion. Work is complete when the agreed scope has been delivered and is ready for your review, whether or not you have begun using it. The final payment becomes due on completion. Anything that does not match the agreed scope is corrected under our 30-day warranty at no charge; requests beyond the agreed scope are handled as a separate change order.
1.1.2 Final payment deadline and project closure. The final payment is due on completion. If we have not received it within fourteen (14) days after completion, the project will be closed. Closure means: - The work does not go live. It is not published, launched, deployed, or connected to your domain, and any staging or preview environment is taken offline. - We store your files safely. Completed work is retained by us in secure storage. We do not delete it, and we will not repurpose or resell it. - The work cannot be used until payment is made. Files, source files, credentials, and transfers are not released, and you may not use, publish, or deploy the work — ownership does not transfer until payment in full (Service Agreement, Section 5). - Work stops and the project leaves our active schedule. - Amounts already invoiced remain due and late fees continue to accrue. - Any hosting, domain, or subscription services you pay for separately continue normally.
1.1.2.1 On payment. Once the outstanding balance is paid in full, we release the files and transfers and, where launch or deployment was part of the agreed scope, schedule the work to go live. If the project was closed, the reopening terms in Section 1.1.3 also apply.
1.1.2.2 How long we store it. We retain closed-project files for twelve (12) months from the closure date. After that we may archive or delete them; we will give you at least 30 days' written notice before doing so, at the contact details on file.
1.1.3 Reopening a closed project. A closed project may be reopened at our discretion, subject to: - payment of the outstanding balance in full, plus any accrued late charges; - the Project Reactivation Fee described in Section 7.5 ($150–$500 by project size, capped at 25% of the outstanding balance), which covers rescheduling, re-establishing the project environment, and reviewing work that may have aged; and - current pricing and availability — your original quote no longer applies, and we will schedule the remaining work with our then-current queue.
Third-party costs incurred during closure (for example, expired licences, hosting, or domain renewals) are additional.
1.1.4 Final approval before launch. After the final payment clears, we send you a Final Approval Note listing what was delivered. Nothing is published, launched, or deployed until you sign and return it. If something does not match the agreed scope, tell us in writing and we will correct it at no charge before re-issuing the Note. If you do not respond within ten (10) business days, or you begin using the work in production, it is deemed approved. Each signed Note is attached to your Service Agreement as the record of what was delivered and accepted.
1.1.5 Work begins when payment clears. We schedule and begin project work after the deposit has cleared, not when it is initiated. Card and Zelle payments clear immediately; ACH takes 3 to 5 business days. If you need to start quickly, card or Zelle is the fastest route. We will confirm in writing when your payment has cleared and your start date is booked.
1.1.6 Returned or reversed payments. If a payment is returned, reversed, or fails after being initiated (for example, insufficient funds, a closed account, or a stopped payment): - work on the project pauses immediately and your scheduled dates are released; - the invoice reverts to unpaid as of its original due date, and late charges resume accruing from that date under Section 7; - a returned payment fee applies: $30 for a returned electronic payment (ACH or other electronic funds transfer); and - work resumes once the outstanding balance, the returned payment fee, and any accrued late charges are paid by a cleared method. We will reschedule you into the next available slot — your original dates cannot be guaranteed.
We charge a returned payment fee to cover the bank charges and administrative work a returned payment creates, not as a penalty. If a payment is returned because of a bank error or something outside your control, tell us and we will waive the fee.
1.2 Deposits. The deposit reserves your project slot and begins work. Deposits are non-refundable once work has commenced.
1.3 Cancelling a project in progress. Your deposit is non-refundable (Section 1.2). If you cancel a project mid-way, we will stop work and will not charge you for the remaining, unearned portion of the project. You remain responsible for the deposit and for any work already performed and non-cancellable costs incurred through the cancellation date; fees for completed work are non-refundable. Any refund beyond not billing the remaining balance is at our discretion, and where provided is issued under Section 12.3 (Refund method).
1.4 Delivery on payment. Final files, transfers, and launches occur after the final payment is received.
2. Recurring Services & Subscriptions (Hosting, Managed IT, etc.)
2.1 Automatic renewal — please read. Recurring services are month-to-month and renew automatically each billing cycle. Your payment method is charged in advance for each cycle, including applicable taxes, until you cancel. By subscribing, you authorize these recurring charges.
2.2 Cancellation. You may cancel any subscription at any time with 30 days' written notice to info@avprimedesign.com. Cancellation takes effect at the end of the 30-day notice period; the then-current cycle and any cycle that begins during the notice period are billed as normal, and fees already charged are non-refundable.
2.3 Effect of cancellation. On the effective cancellation date, recurring Services stop. For hosting, you are responsible for migrating your site and data before that date; we may provide an export on request. We retain a copy of your hosted data for thirty (30) days after cancellation to assist with migration, after which it may be permanently deleted.
2.4 Price changes. We may change recurring prices with at least 30 days' notice before your next renewal; continued use after the change constitutes acceptance.
2.5 Failed payments. If a recurring charge fails, we may retry the charge, notify you, and suspend the Service until payment succeeds. Continued non-payment may result in termination and, for hosting, removal of hosted content after 30 days.
2.6 Domain transfers. Transferring a domain that we register or manage to another provider or company is subject to a transfer/administration fee equal to two (2) hours at our standard hourly support rate (currently $150/hour; see Section 4.3), plus any registrar or third-party charges. The transfer fee and any outstanding balance must be paid before the transfer is initiated. We will provide the authorization/EPP code and cooperate with a valid transfer request once payment is received. This fee reflects our administrative work to prepare and execute the transfer, not a charge merely to release the domain.
2A. AV Prime Smart Tap Subscriptions
2A.1 A separate, month-to-month software subscription. AV Prime Smart Tap is billed as its own month-to-month software subscription, separate from the two-year Website Subscription term described in Section 2, and separate from any one-time project fees. Your current plan, add-ons, and device pricing are stated in your proposal, order confirmation, or account — not in this Policy, which is not a pricing page.
2A.2 Cancellation. You may cancel your Smart Tap subscription at any time by contacting us at info@avprimedesign.com or, where a working self-service cancellation control is available to you, through your account. Unless we agree otherwise in writing, cancellation takes effect at the end of your current billing period — not immediately and not with a 30-day notice period like Section 2.2's hosting subscriptions. Your subscription and devices continue to function normally through the end of that period, and fees already charged for the current period are not refunded for the unused remainder. We will confirm your cancellation and its effective date in writing; that confirmation is the authoritative record.
2A.3 Plan changes. Upgrading or downgrading your Smart Tap plan follows the proration approach described in Section 3.
2A.4 Effect of cancellation on devices. When your Smart Tap subscription ends, devices linked to it may stop functioning as configured, be paused, or redirect to a default page — see your Smart Tap Terms §4 and §9.
2A.5 Device fees & replacement. Fees for Smart Tap devices, including replacement of a lost or damaged device, are stated in your proposal, order confirmation, or the quote provided to you at the time — we do not publish device or replacement pricing in this Policy. See your Smart Tap Terms §5.
2A.6 Refunds. Refunds for Smart Tap subscription fees, add-ons, and devices are not blanket non-refundable; refundability depends on what was purchased and whether it has already been delivered, shipped, customized, or consumed for the billing period in question. Custom- branded or personalized devices may not be returnable, and therefore not refundable, once produced.
2A.7 Payments your customers make through Smart Tap. Where a Smart Tap feature lets your own customers pay you directly through a payment connection you control, that payment is a transaction between you and your customer, not a transaction with AV Prime, and is not part of your Smart Tap subscription billing. See your Smart Tap Terms §11 for the full description of this arrangement, including how funds settle.
3. Changing Plans Mid-Cycle (Upgrades & Downgrades)
3.1 Upgrades. If you upgrade a subscription (e.g., a higher Managed IT tier) during a billing cycle, you pay only the prorated difference for the remainder of the current cycle — not a full additional month. The prorated difference is charged immediately at the time of the upgrade, and your regular plan price applies from the next renewal.
3.2 Downgrades. If you downgrade during a billing cycle, a prorated credit for the unused portion of the higher plan is applied to your account immediately and offsets your next invoice(s). We do not issue cash refunds for downgrades; the credit is applied against future charges. The lower plan price applies from the next renewal.
3.3 Effect on included support hours. On an upgrade, your included support hours for the current cycle are increased to the new plan's allowance, and any hours you have already used in the cycle remain counted (your remaining balance = new allowance − hours already used). On a downgrade, your current-cycle allowance is set to the new plan's included hours, keeping hours already used. From the next cycle, hours are granted at the new plan level. Rollover of previously banked hours is unaffected (see Section 4).
3.4 How to change. Request a plan change in writing to info@avprimedesign.com or through your account. Proration is calculated by our payment processor (Stripe) based on the days remaining in your billing cycle.
4. Managed IT Support Hours & Overages
4.1 Included hours. Each managed IT plan includes a set number of support hours per month, as stated in the plan. The Enterprise Technology plan works differently — see Section 4.5.
4.2 Rollover. Unused included hours roll over for one (1) month and expire thereafter. Rolled-over hours are used only after the current month's included hours are exhausted.
4.3 Overages. Support beyond your included/rolled-over hours is billed at our then-current rate card:
| Support type | Rate (per hour) |
|---|---|
| Standard | $150 |
| On-site | $165 |
| Emergency | $185 |
| After-hours | $200 |
| Contract (IT plan) | $135 |
Billed in 15-minute increments.
4.4 Scope. Support covers the systems and services described in your plan. Work outside that scope (e.g., new projects) is quoted separately.
4.5 Enterprise Technology — unlimited remote support (fair use). The Enterprise plan includes unlimited remote support rather than a monthly hour allowance, together with 8 on-site hours per month. On-site time beyond that allowance is billed at your contract rate.
4.5.1 What "unlimited" covers. Day-to-day support of the environment we manage: user issues, troubleshooting, break-fix, configuration changes, account administration, monitoring, patching, and routine maintenance across the sites and systems in your agreement.
4.5.2 What is quoted separately. Unlimited remote support is not a substitute for project work. The following are scoped and quoted as projects: new installations and build-outs; migrations and platform changes; hardware or software procurement and deployment; office moves and new locations; recovery from a security incident; custom development or integrations; and remediation of pre-existing problems, including infrastructure that was unmaintained, unsupported, or out of warranty when the plan began.
4.5.3 Scope and fair use. Unlimited support applies to the users, devices, sites, and systems listed in your agreement. Adding users, devices, or locations changes the price on 30 days' notice. If support volume is driven by equipment that is failing, end-of-life, or outside vendor support, we will tell you, recommend a fix, and quote the remediation — we do not simply absorb the cost of infrastructure that needs replacing.
4.5.4 We will always tell you first. If we believe work falls outside unlimited support, we say so and provide a quote before doing the work. You will never receive a surprise invoice for something you thought was included.
4.6 Website Subscription — minimum term & early buyout option. AV Prime Website Subscription and similarly named no-build-fee, monthly website offerings carry a minimum term — standardly two years — stated in your proposal, before ownership transfers under Section 5.5 of the Service Agreement. If you would like to own the website before completing that term, or if you cancel before completing it, you may exercise the early buyout option: you owe the remaining balance between the website's reference value stated in your proposal and the total monthly payments you have already made toward it, or the plan's stated buyout amount if your proposal specifies one instead. This amount is due before the website is released to you or the account closed. Once the minimum term is complete, no buyout is needed — ownership has already transferred to you, and cancelling carries no additional fee.
5. Travel & Mileage
5.1 When it applies. For services that require us to travel to your location (for example, on-site or emergency IT support, installations, or on-site visits), a travel fee may be added to cover mileage.
5.2 How it's calculated. The travel fee is based on the one-way driving distance from our office location to your service address, multiplied by the applicable per-mile rate. Distance is determined using a standard mapping service.
5.3 Rate. The per-mile rate is the IRS standard business mileage rate in effect at the time of service (currently $0.76 per mile). The rate automatically follows the then-current IRS business-use figure and is subject to periodic adjustment by the IRS. The applicable rate will be shown on your proposal or invoice.
5.4 Disclosure. Where a travel fee applies to quoted work, it will be itemized on your proposal or invoice so the amount is clear before you approve it.
6. Third-Party AI & Platform Fees
6.1 AI features rely on third-party AI platforms, which charge for usage (for example, per message, per minute, or per request). Unless your proposal or plan expressly states that such usage is included, third-party AI and platform fees are billed to you at cost or billed directly to your own account with the provider.
6.2 Usage-based AI costs vary with how much your customers use the feature. We will tell you which provider accounts are required and help you set spending limits where the provider supports them, but we are not responsible for usage charges you incur, including charges resulting from unexpected volume. See the Service Agreement, Section 7.2.5.
6A. Third-Party Costs & Subcontracted Work
6A.1 Subcontractors. We may use subcontractors and specialists to perform work. This does not change your price, and we remain responsible for the work. See Service Agreement, Section 6A.
6A.2 Third-party costs are yours unless stated. Licences, subscriptions, plugins, themes, stock media, hardware, domains, hosting with outside providers, AI platform usage, and advertising spend are billed to you at cost or billed directly to your own account with the provider, unless your proposal expressly includes them.
6A.3 Advertising spend is never included in a marketing service fee unless the proposal says so. Our fee covers our work; the ad budget is separate and paid to the platform.
6A.4 Third-party price changes may occur at any time and are outside our annual price review (Section 8). We will tell you when we become aware of a change affecting you.
7. Late Payments, Suspension & Reactivation
7.1 When an account is past due. Invoices are due on the terms stated on the invoice, proposal, or agreement. An account becomes past due when payment has not been received by the due date. We allow a grace period of up to ten (10) calendar days before assessing a late charge.
7.2 Late charge. After the grace period, past-due amounts may accrue a late charge of 1.5% per month (18% annualized), or the maximum permitted by New York law, whichever is less. Late charges apply only to unpaid balances. Accepting a late or partial payment does not waive our right to collect the remainder or exercise other remedies.
7.3 Billing disputes. Please review invoices promptly and notify us of any good-faith billing dispute within ten (10) calendar days of receipt so we can investigate. Failure to dispute does not waive rights that cannot legally be waived.
7.4 Suspension for non-payment. If an account remains past due we may suspend work or services, which may include development, design, revisions, marketing, technical support, IT and managed services, platform or client-portal access, hosting or maintenance, deployment or launch, and delivery of unfinished deliverables. We are not responsible for delays caused by a payment-related suspension, and schedules may be adjusted afterwards. Suspension does not cancel amounts already owed.
7.5 Project Reactivation Fee. If a project has been placed on hold or suspended because of non-payment, a client-requested postponement, failure to provide required information, content, credentials, approvals or feedback, extended inactivity, or another substantial client-caused delay, we may require a Project Reactivation Fee before returning it to active production.
The fee is set by project size, because the work of restarting scales with scope:
| Project value | Reactivation fee | Typical restart work |
|---|---|---|
| Under $1,000 | $150 | Rescheduling and a brief review |
| $1,000 – $10,000 | $300 | Reassessment, environment reactivation, resource reassignment |
| Over $10,000, multi-phase, or involving subcontractors or hardware | $500 | Full technical review, re-validating design, re-confirming suppliers and subcontractors |
The fee will never exceed 25% of the outstanding balance. Project value means the total one-time value of the project as quoted.
The fee compensates us for the actual work of restarting: project reassessment, administrative processing, review of previously completed work, development-environment or account reactivation, resource reassignment, scheduling, and technical review. All outstanding amounts plus the reactivation fee must be paid before reactivation.
The fee applies to reactivating a genuinely suspended project — it is not charged merely because an invoice was paid late. Payment of the fee does not guarantee your previous place in our production schedule; we may assign a new production date based on current availability.
7.5.1 Subscriptions and recurring services. Reactivation of a recurring service works differently, because the work involved is different: - Suspended and then paid — no fee. If a subscription is suspended for non-payment and you bring the account current, service simply resumes. We do not charge to switch it back on. - Deprovisioned — $75 reinstatement fee. If the service had been fully removed (monitoring agents uninstalled, backups archived, configurations torn down), a $75 reinstatement fee applies to rebuild it, plus any outstanding balance. - Cancelled — treated as new onboarding. A subscription that was cancelled and later restarted is set up as a new service at then-current pricing. Your previous rate does not carry over, and any applicable setup or onboarding charge applies.
7.6 Returned or reversed payments. See Section 1.1.6.
7.7 Collection. We may pursue lawful collection of undisputed unpaid amounts. To the extent permitted by law and the parties' agreement, you may be responsible for reasonable collection costs, including attorneys' fees where legally recoverable. We may use a collection agency or other available remedies.
7.8 If you are having trouble paying, contact us at info@avprimedesign.com before the invoice becomes past due. We would rather arrange a payment schedule than charge fees.
8. Client-Caused Delays, Inactivity & Abandonment
8.1 Your inputs. You are responsible for providing materials, approvals, credentials, content, decisions, and feedback reasonably necessary to complete the project. If we are waiting on you, deadlines move as reasonably necessary. We are not responsible for missed deadlines caused by client delays.
8.2 On Hold. Projects with prolonged inactivity may be moved from Active to On Hold, and reactivation under Section 7.5 may be required before work resumes.
8.3 Abandonment. If you do not communicate, provide required materials or approvals, or make required payments for sixty (60) consecutive days, we may classify the project as inactive or abandoned after reasonable notice. Amounts already earned remain payable. Reopening an abandoned project may require payment of all outstanding balances, the applicable Reactivation Fee (Section 7.5), and a revised scope, timeline, or estimate if circumstances materially changed. If substantial redevelopment is needed because technology, third-party APIs, platforms, or your instructions changed during the inactive period, that work is quoted separately.
9. Price Lock & Price Changes
9.1 All prices are subject to change annually. Our published prices, rate card, and service pricing are reviewed and may be adjusted once per calendar year. Annual adjustments apply to new proposals, renewals, and hourly or on-site work performed after the change takes effect.
9.2 Locked pricing — what an annual change does not affect. The pricing in an accepted proposal is locked to that proposal and is not affected by a later annual adjustment or any other change to our standard rates. This applies to the scope you accepted; work added later is quoted at then-current rates. Multi-phase projects already under an accepted proposal keep their accepted pricing through completion.
9.3 Recurring services. Annual adjustments to recurring pricing take effect at your next renewal after at least 30 days' written notice. You may cancel before the new price applies (see Section 2). We will not apply more than one annual adjustment to the same subscription in a twelve-month period.
9.4 Rate card and hourly work. Support, on-site, emergency, and after-hours hourly rates are set on the current rate card and may change with the annual adjustment. Work already scheduled or in progress at the time of a change is billed at the rate in effect when it was booked.
9.5 Third-party pass-through costs (domains, licences, hosting upstream, AI platform usage) may change at any time when the provider changes them, and are not limited by the annual review. We will tell you when we become aware of a change that affects you.
9.6 Quotes and estimates. Written quotes are valid for the period stated on the proposal (14 days unless stated otherwise). Custom-quote items are not final until we issue a written quote and you accept it.
10. Taxes
Prices are exclusive of applicable sales or other taxes unless stated. You are responsible for taxes associated with the Services, which may be added to invoices where required.
11. Accepted Payment Methods
11.1 How you can pay. We accept: - Bank payment (ACH) — preferred; direct from your account, settles in 3–5 business days - Credit or debit card — processed securely by Stripe; clears immediately - Apple Pay / Google Pay — the fastest option on a phone; these are card payments made through your device wallet, so card limits and terms apply to them - Zelle — sent from your banking app; usually arrives within minutes - Cash — local clients only, in person at our office or on site, receipt provided
11.2 No surcharges. We do not add a processing fee, convenience fee, or card surcharge. The price on your proposal is the price you pay, whichever method you choose.
11.3 Method limits. - Card (including Apple Pay and Google Pay): not accepted for any single payment of $10,000 or more. Apple Pay and Google Pay are card payments made through a device wallet, so the same limit applies. Please use bank payment, Zelle, or wire. This is a payment-method requirement, not a fee. - Cash: accepted up to $9,999. Larger amounts must use another method. (Businesses receiving more than $10,000 in cash are subject to federal reporting requirements; we keep cash payments below that threshold to avoid it. We will not split a larger payment into smaller cash amounts to stay under the limit, and we ask that you do not either.) - Zelle: your bank sets its own daily transfer limit, often in the range of $2,500 to $5,000. A larger payment may require more than one transfer, or another method. Zelle transfers are immediate and cannot be reversed — please confirm the amount and our details before sending.
11.3.1 Cash receipts. Every cash payment is receipted in writing at the time of payment, recorded against your invoice the same day, and included in your account history.
11.4 When a payment counts as received.
| Method | Recorded |
|---|---|
| Card, Apple Pay, Google Pay | Immediately on authorisation |
| Zelle | Same day received |
| Cash | Same day received, with written receipt |
| Bank payment (ACH) | On settlement, typically 3–5 business days |
If an ACH payment is returned by your bank (for example, insufficient funds), the invoice reverts to unpaid as of its original due date, and your bank may charge a return fee. Where a deadline in this Policy depends on payment (for example, the 14-day project-closure period in Section 1.1.2), we count from settlement and allow for normal clearing time — you will not be penalised for ordinary bank processing delays.
11.5 Failed payments. See Section 7 for late charges and suspension.
12. Payment Processing & Security
12.1 Third-party processor. Payments are processed by Stripe, Inc., a third-party payment processor, under Stripe's own terms and privacy policy. We never receive or store your full card number, CVC, or bank credentials — that information passes directly to Stripe, which maintains PCI-DSS compliance and tokenizes your payment details.
12.1.1 What we are not responsible for. To the maximum extent permitted by law, we are not responsible or liable for: - Stripe's availability, outages, downtime, delays, or failed or delayed transactions; - Stripe's decisions to decline, flag, hold, freeze, or reverse a transaction; - fraudulent or unauthorized charges made by third parties using your payment credentials; - errors, security incidents, or data breaches occurring within Stripe's systems; or - bank, card-issuer, or network fees, holds, currency conversion, or processing delays.
12.1.2 Your responsibilities. You are responsible for keeping your payment method current and your account credentials secure, and for promptly notifying your card issuer and us of any unauthorized activity.
12.1.3 What we remain responsible for. We stand behind the accuracy of the amounts we charge, delivery of the Services you paid for, and honoring this Policy, including our refund and cancellation terms. If we bill you in error, we will correct it.
12.1.4 Failed or delayed payments. If a payment fails or is delayed for reasons outside our control, Services may be suspended until payment succeeds, and we are not liable for any resulting interruption. See Section 2.5.
12.2 Chargebacks. If you dispute a charge, please contact us first at info@avprimedesign.com so we can resolve it. Chargebacks filed without contacting us may result in suspension of Services.
12.3 Refund method. Any approved refund is issued to your original payment method and is net of payment-processing fees, which are non-refundable. Refunds typically appear within 5 to 10 business days, depending on your bank or card issuer. We do not issue cash or alternative-method refunds.
13. Invoices & Receipts
Invoices and receipts are provided by email and, where available, in your client portal. Amounts are due on the dates stated on the invoice or proposal.
14. Force Majeure
We are not responsible for delays or failures caused by circumstances reasonably beyond our control, including natural disasters, severe weather, widespread internet or utility outages, governmental actions, labor disruptions, war, civil disturbance, cyberattacks affecting third-party infrastructure, or third-party platform failures. Payment obligations for services already properly performed are not excused solely by such an event.
15. Service Suspension to Protect Systems
We may temporarily restrict or suspend access where reasonably necessary to protect our systems, clients, infrastructure, data, intellectual property, or third-party services from suspected fraud, abuse, security threats, unlawful activity, or material breach of an applicable agreement. We will act reasonably and restore access once the reason for suspension is resolved.
16. Data Following Termination
Where we host your data, the applicable service agreement states the post-termination retrieval period. You are responsible for exporting or requesting your data within that period. We may delete data afterwards, subject to law, contractual obligations, backups, legal holds, and technical retention requirements. Closed-project files are retained for twelve (12) months with thirty (30) days' notice before deletion (Section 1.1.2.2). Additional migration, recovery, restoration, conversion, or export work may be billed separately.
17. Changes to This Policy
We may update this Policy prospectively. For existing fixed-scope projects, material changes will not retroactively alter agreed financial obligations unless both parties agree. For recurring services we give notice of material changes as required by the agreement or law. The version you accepted is retained as part of our records and is available to you on request.
18. Electronic Acceptance
Electronic acceptance has the same effect as signing a paper agreement to the extent permitted by law. At checkout you affirmatively accept the applicable terms, and we record the date and time, policy version, the specific items accepted, the name signed, and the account or transaction the acceptance relates to. The same record is created when you accept a plan change in the client portal.
19. This Policy Together With Your Other Documents
Read this Policy together with your Service Agreement, proposal or Statement of Work, order form, Website Terms of Use, Privacy Policy, and, where you subscribe to AV Prime Smart Tap, your Smart Tap Terms. Where a specific signed agreement contains different terms, that agreement controls to the extent stated in it.
